Scope of the website: umatech.eu presents UAB „Uma“’s contract design, development and production services to business customers (B2B). The website is not directed at consumers and is not intended for the placing of consumer orders.

2. Privacy policy

2.1 Who we are

UAB „Uma“ (company code 308107384, registered address Laisvės pr. 78B-214, LT-05263 Vilnius, Lithuania) is the data controller for personal data processed through umatech.eu (“the Website”).

2.2 What data we collect

(a) Contact and enquiry data: when you use a contact form, we collect the name, company name, job title, e-mail address, phone number and message content you provide, and any files you attach.

(b) Quotation / RFQ data: when you request a project-specific quotation for components or production, in addition to (a) we may ask you to complete a questionnaire identifying the supply chain up to the end customer and the expected sales volume of the end product. This questionnaire may contain personal data of individuals other than yourself (e.g. a contact person at your end customer). By submitting such data you confirm you are authorised to share it with us for the purposes described below. This information is used internally by UAB „Uma“ for pricing and export-control/end-use due diligence and is disclosed to a manufacturing subcontractor only where necessary to obtain a project-specific price for that subcontractor’s own portion of the work, and only with your prior explicit consent.

(c) Technical data: when you visit the Website, our hosting and content-delivery providers process standard technical data, such as your IP address, browser type, the pages requested and the time of the request, to deliver the Website and protect it against abuse. The contact form is protected against automated abuse by Cloudflare Turnstile. We may use Cloudflare’s privacy-focused website statistics, which do not use cookies. The Website does not use cookies for analytics or advertising.

2.3 Why we process your data and on what legal basis

  • To respond to enquiries and prepare quotations: performance of pre-contractual steps at your request (Art. 6(1)(b) GDPR).
  • To negotiate and perform contracts for design, development and production services: performance of a contract (Art. 6(1)(b) GDPR).
  • To verify the end-use and end-buyer of components and products, and to screen against EU, UN and other applicable sanctions and denied-party lists: compliance with our legal obligations under EU export-control and sanctions law, in particular Regulation (EU) 2021/821 on dual-use items and applicable EU restrictive-measures regulations (Art. 6(1)(c) GDPR), and our legitimate interest in avoiding unlawful transactions (Art. 6(1)(f) GDPR).
  • To manage and develop our business relationships with prospective customers: legitimate interest (Art. 6(1)(f) GDPR).
  • Where end-buyer or supply-chain information you provide is exceptionally shared with a manufacturing subcontractor to obtain a project-specific price: your explicit consent (Art. 6(1)(a) GDPR), which you may withdraw at any time.

2.4 Who receives your data

Routine production data shared with our manufacturing subcontractors: for the ordinary purpose of manufacturing and assembling boards, we only share technical/production data (specifications, drawings, ordering company name — e.g. for silk-screen printing on the board itself). As a rule, this does not include any personal data of identifiable individuals, since a company name is not personal data under the GDPR.

End-buyer / supply-chain data (Section 2.2(b)): this more sensitive information is used internally by UAB „Uma“ and is disclosed to a manufacturing subcontractor only in the exceptional case where it is necessary to obtain a project-specific price for that subcontractor’s portion of the work, and only with your prior explicit consent (see Section 2.3).

We also share data, on a need-to-know basis, with our accounting/administrative service providers, and with public authorities (e.g. customs, export-control or tax authorities) where required by law.

IT service providers process data on our behalf as processors: Google (Google Workspace: e-mail and storage of enquiries and attached files), Cloudflare (website delivery, security and protection of the contact form) and netcup GmbH (website hosting in Germany). Google and Cloudflare may process data outside the European Economic Area; such transfers rely on the EU–US Data Privacy Framework or the European Commission’s Standard Contractual Clauses.

Some of our manufacturing subcontractors are located outside the European Economic Area (including in the People’s Republic of China). Since routine production data shared with them does not include personal data, Chapter V GDPR does not apply to that flow. In the exceptional, consent-based case described above where personal data is shared with such a subcontractor, we rely on an appropriate safeguard under Chapter V GDPR, in particular the European Commission’s Standard Contractual Clauses.

2.5 How long we keep your data

  • General enquiries that do not lead to a contract: up to 2 years from the last contact.
  • Quotation/RFQ records, including end-use and end-buyer information: up to 5 years, as evidence of our export-control and sanctions due-diligence process.
  • Data processed under a signed contract: for the duration of the contract plus the periods required by Lithuanian accounting and civil-law limitation rules (generally 10 years).

2.6 Your rights

Subject to the conditions set out in the GDPR, you have the right to request access to, rectification or erasure of your personal data, to restrict or object to processing, and to data portability. You also have the right to lodge a complaint with the State Data Protection Inspectorate (VDAI) or your local supervisory authority. To exercise these rights, contact us at the e-mail address given in Section 1. We encourage you to contact us directly to resolve any concern before lodging a formal complaint, so that we can address it promptly.

We do not sell your personal data to third parties, and we do not use your data for automated decision-making or profiling that produces legal or similarly significant effects on you.

3. Terms of use

3.1 Scope

These Terms of Use govern access to and use of umatech.eu. The Website is intended exclusively for business-to-business (B2B) use by companies and professionals seeking design, development or contract production services, acting in their trade, business or profession. By using the Website, you confirm you are acting in such a capacity and agree to these Terms. If you are a natural person acting for purposes outside your trade or profession (a consumer), please contact us before submitting any order, as mandatory consumer-protection law may apply; UAB „Uma“ reserves the right to decline any enquiry or order it reasonably believes to have been placed by a consumer for personal use.

3.2 Nature of information provided

Content on the Website (including any indicative pricing, lead times or specifications) is provided for general information only and does not constitute a binding offer. Any quotation issued in response to a specific enquiry is likewise non-binding unless expressly confirmed in writing by UAB „Uma“ and, where applicable, formalised in a signed purchase order, contract or NDA/NNN agreement. No statement made by an employee or representative of UAB „Uma“ outside of such written confirmation shall be binding on UAB „Uma“.

3.3 Formation of contracts and scope changes

A binding contract for a specific project is formed only upon UAB „Uma“’s written acceptance of a purchase order, or upon signature of a contract, by both parties. Any change to the agreed scope, specifications or quantities requested after such acceptance must be agreed in writing (a change order) and may result in an adjusted price and lead time. UAB „Uma“ is not obliged to perform work outside an agreed written scope free of charge.

3.4 Confidentiality and trade secrets

Technical or commercial information you submit through an enquiry or quotation form will be treated as confidential and used solely to evaluate and respond to your request. Likewise, any technical solution, design, pricing model or other know-how disclosed to you by UAB „Uma“ constitutes confidential information and a trade secret protected under Directive (EU) 2016/943 and the Lithuanian Law on the Legal Protection of Trade Secrets. You agree not to reverse-engineer, decompile or otherwise attempt to derive the underlying design, manufacturing process or bill of materials of any prototype, sample or product supplied by UAB „Uma“, and not to use information obtained through the Website to replicate our services via a third party, without our prior written consent. Where more extensive protection is required, UAB „Uma“ is prepared to enter into a separate non-disclosure/non-use/non-circumvention (NDA/NNN) agreement prior to the exchange of sensitive technical data.

For the avoidance of doubt, the reverse-engineering restriction in this Section 3.4 applies to Uma’s own deliverables and does not itself prohibit UAB „Uma“ from providing analysis, reverse-engineering or redesign services requested by a customer in relation to a third-party product. Where you request such services in relation to a product not supplied by UAB „Uma“, you represent and warrant that you have the legal right to have that product analysed and reverse-engineered (including that doing so does not breach any agreement binding on you or infringe any third party’s intellectual property rights), and you agree to indemnify UAB „Uma“ against any claim arising from a breach of this warranty. UAB „Uma“ reserves the right to decline any request it reasonably believes would infringe an enforceable patent or other third-party right, regardless of the method used to obtain the underlying information.

3.5 Fair use of enquiries and quotations

Quotations, technical consultations, pricing information and samples provided via the Website are intended solely to support your own genuine business decision-making in relation to a specific project. You agree not to use such information to benchmark, replicate, or share it with a competitor of UAB „Uma“, or otherwise for the purpose of gathering competitive intelligence. UAB „Uma“ reserves the right to decline, limit or discontinue providing quotations, technical information or samples to any party it reasonably believes to be a competitor, to be acting on behalf of a competitor, or to be using the enquiry process primarily for a purpose other than the genuine evaluation of our services.

3.6 Non-circumvention

In connection with an enquiry, quotation or project, UAB „Uma“ may identify or introduce you to specific manufacturing subcontractors, component suppliers or other business partners. For 24 months from the date of the relevant introduction, you agree not to directly or indirectly engage or place orders with any such subcontractor, supplier or partner in relation to the same or a substantially similar product, without UAB „Uma“’s prior written consent. This clause does not apply where you can demonstrate a pre-existing, independent relationship with the relevant party.

3.7 Export control and sanctions compliance

UAB „Uma“ operates internationally and is committed to full compliance with EU export-control law (including Regulation (EU) 2021/821 on dual-use items) and applicable EU, UN and other sanctions regimes. You warrant that any information you provide regarding the intended end-use, end-user and end-buyer of components or products is accurate and complete, and you agree to indemnify UAB „Uma“ against any loss, fine or liability arising from inaccurate or incomplete information you provide in this respect. UAB „Uma“ reserves the right to request additional information, to screen any counterparty against applicable denied-party and sanctions lists, and to refuse, suspend or terminate any enquiry, quotation or contract where it reasonably believes that proceeding would breach applicable export-control or sanctions law.

3.8 Fees, payment terms and late payment

Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. Late payment accrues statutory interest in accordance with the Lithuanian Law on the Prevention of Late Payment in Commercial Transactions (implementing EU Directive 2011/7/EU) — currently the ECB reference rate plus 8 percentage points — together with the statutory minimum compensation for recovery costs. UAB „Uma“ may suspend further work, deliveries or the release of design files until overdue amounts are paid in full, and title to any goods or deliverables does not pass until payment is received in full.

3.9 Samples and prototypes

Fees charged for samples, prototypes or preliminary engineering work reflect actual costs incurred and are non-refundable once work has commenced, even if you subsequently decide not to proceed to full production.

3.10 Intellectual property

All content on the Website (text, graphics, logos) is the property of UAB „Uma“ or its licensors and may not be reproduced without prior written consent, other than for the purpose of evaluating our services.

3.11 Limitation of liability

To the maximum extent permitted by applicable law, UAB „Uma“ shall not be liable for indirect, incidental or consequential damages arising from the use of the Website. Save for liability that cannot be limited under mandatory Lithuanian or EU law (such as liability for death, personal injury, or fraud), UAB „Uma“’s total liability arising out of or in connection with a specific order shall not exceed the total fees paid by you for that order.

3.12 Good-faith resolution of disputes

Before pursuing public complaints, negative publicity campaigns or legal proceedings, the parties agree to first attempt in good faith to resolve any dispute through direct negotiation within 30 days of written notice. This clause does not affect either party’s right to seek urgent injunctive relief, or a consumer’s mandatory statutory rights where applicable. Nothing in these Terms restricts your right to make truthful statements; however, false or defamatory statements may give rise to liability under Article 2.24 of the Lithuanian Civil Code.

3.13 Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Lithuania. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Lithuania, unless the parties agree otherwise in a specific contract.

3.14 Changes

UAB „Uma“ may update these Terms from time to time. The version published on the Website at the time of your enquiry applies.

3.15 Contact

Questions about these Terms may be sent to the e-mail address given in the Legal notice (Section 1).
